This licence

This licence is between you and [[LEGAL_ENTITY_NAME]] and covers the Autom desktop application for Windows, macOS, and Linux, together with its documentation and any update we supply.

The application is licensed, not sold. You get the rights set out below and no others.

The Terms of Service govern the wider service and your subscription. If the two documents conflict on a point about the application, this licence applies to that point; on everything else the Terms of Service apply.

Installing or using the application means you accept this licence.

Licence grant and scope

While your subscription is active and you comply with this licence, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the application for your own internal business purposes.

The number of users and devices covered by a subscription is set out at [[SEAT_AND_DEVICE_SCOPE]].

An authorised user may install the application on the devices they use for work, provided the account is not shared with anyone else.

If your subscription ends, this licence ends with it and you must stop using the application.

Restrictions

Do not copy the application except as needed for normal installation and backup.

Do not sell, rent, lease, lend, sublicense, distribute, or host the application for anyone else, and do not make it available as part of a service of your own.

Do not reverse engineer, decompile, or disassemble the application, or attempt to derive its source code, except to the extent that restriction is prohibited by law or by the licence of an open-source component it contains.

Do not modify the application, create derivative works from it, or remove or obscure any notice of ownership.

Do not circumvent licensing, authentication, update, or usage controls, and do not use the application after your right to do so has ended.

Use of the application is also subject to the Acceptable Use Policy.

Ownership and intellectual property

The application, its interface, and everything in it are owned by [[LEGAL_ENTITY_NAME]] or its licensors and are protected by copyright and other laws.

Nothing in this licence transfers ownership, and we reserve all rights not expressly granted.

The Neoteric and Autom names and logos are ours. This licence does not give you the right to use them, except to identify the product accurately.

Your business content stays yours. The Terms of Service set out how customer content is treated.

Third-party and open-source components

The application includes third-party and open-source components. Each is licensed under its own terms, and where those terms grant you rights or impose conditions that differ from this licence, the component's own terms govern that component.

The complete list of components, their licences, and the notices they require is provided at [[OPEN_SOURCE_NOTICES_FILE]] and is shipped with the application.

Where a component's licence gives you a right to source code, we will supply it on the terms that licence requires.

Updates and automatic updating

We may issue updates, including bug fixes, security patches, and changes to features. Updates are covered by this licence unless they come with their own terms.

How the application checks for and installs updates, and whether automatic updating can be turned off, is described at [[UPDATE_CHANNEL_BEHAVIOUR]].

We may stop supporting an older version. Running an unsupported version is at your own risk, particularly where a security fix is only available in a later release.

Signing and verification details for official builds are published at [[CODE_SIGNING_DETAILS]]. Only install the application from a source we publish.

Telemetry and diagnostic data

The application may report diagnostic information such as crash reports, version information, and feature usage so we can find and fix defects.

Exactly what is collected, whether it includes business content, and whether it can be turned off is set out at [[TELEMETRY_DESCRIPTION]]. This is not yet settled, and we will not describe it here until it is.

Any personal information in diagnostic data is handled under the Privacy Policy.

Pre-release software

Autom is pre-release and downloads are not yet open. Any build supplied before general release is provided for evaluation and may be incomplete, unstable, or changed without notice.

Do not rely on a pre-release build for critical business work, and keep your own copies of anything you cannot afford to lose.

Term and termination

This licence runs while your subscription is active.

It ends automatically if you breach it, and we may also end it on notice if your subscription ends or is terminated under the Terms of Service.

When it ends you must stop using the application and remove it from your devices. Export of your business content is governed by the Terms of Service and the window at [[POST_TERMINATION_EXPORT_WINDOW]].

Sections on ownership, restrictions, disclaimers, and liability survive termination.

Export control and sanctions

The application may be subject to export control and sanctions laws, identified at [[EXPORT_CONTROL_REGIME]].

You must not export, re-export, or make the application available to a country, person, or entity where that would breach those laws, and you confirm you are not subject to a restriction that would prevent you from using it.

Disclaimer and liability

The application is provided as is, without warranty of any kind to the fullest extent permitted by law, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the application will run without interruption or error on your hardware, or that it is free of every defect.

Our liability in connection with the application is limited in the same way, and to the same cap, as under the Terms of Service, at [[LIABILITY_CAP]].

Nothing here excludes liability that cannot lawfully be excluded, and you may have rights under consumer law that this licence does not affect.

This licence is governed by the law of [[GOVERNING_LAW_JURISDICTION]], with the venue at [[COURTS_VENUE]].
